By creating an account, subscribing to, accessing, or using MDMT, you (“you,” the “Subscriber”) agree to be bound by these Terms of service (the “Terms”). If you do not agree, do not access or use the Service. If you use the Service on behalf of a brokerage or other organization, you represent that you are authorized to bind that organization to these Terms.
MDMT is provided solely for use by licensed mortgage professionals in good standing with their applicable provincial regulator. You represent and warrant that you hold a valid, current licence and that the licensing information you submit during verification is true and accurate. We may verify, re-verify, suspend, or terminate access at any time if we are not satisfied that this requirement is met.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use MDMT for your own internal business purposes as a licensed mortgage professional. We reserve all rights not expressly granted. This licence does not transfer any ownership of the Service or its contents to you.
The value of MDMT lies in its proprietary calculation engines, methodologies, data, and software. To protect them, you agree that you will not, and will not permit or assist any third party (including any automated agent, bot, script, or artificial-intelligence system) to:
We employ technical measures (including rate limiting, usage auditing, and output watermarking) to detect and deter the above. Violation of this Section is a material breach and grounds for immediate suspension or termination under Section 10, in addition to any other remedies available to us at law or equity.
All right, title, and interest in and to the Service, including its software, source code, calculation engines, algorithms, formulas, models, methodologies, penalty and valuation logic, user interface, design, documentation, trademarks, and all data and content we provide (the “Pathway IP”), are and remain the exclusive property of Pathway and its licensors. These Terms grant you a licence to use the Service, not any ownership of the Pathway IP. You retain ownership of the client data you upload, and grant us a limited licence to process it solely to provide the Service, in accordance with our Privacy policy and applicable privacy law.
Access requires a verified account and an active paid subscription, except where we expressly grant complimentary access. Fees, billing intervals, and plan features are as presented at checkout and are processed by our third-party payment provider (Stripe); we do not store your full card details. Unless stated otherwise, fees are non-refundable, exclusive of applicable taxes, and subscriptions renew automatically until cancelled. We may change pricing or plan features on reasonable notice. Failure to pay may result in suspension or termination of access.
You are responsible for ensuring you have the right to upload any client data and for handling it in compliance with applicable privacy laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial legislation. We handle personal information in accordance with our Privacy policy, apply encryption and access controls, and minimize retention of sensitive identity documents.
MDMT provides calculations, estimates, and analytical tools for use by licensed professionals. Its outputs, including penalty estimates, valuations, projections, and strategy comparisons, are estimates for informational and professional-support purposes only, are based on inputs you provide and assumptions that may not reflect a specific lender's actual terms, and are not financial, legal, tax, or investment advice to you or to any borrower. You are the licensed professional; you are solely responsible for verifying figures directly with the relevant lender and for any advice you give your clients. We do not guarantee the accuracy, completeness, or fitness of any output for a particular purpose.
We provide the Service on an “as is” and “as available” basis. We may modify, suspend, or discontinue any part of the Service, and we do not guarantee uninterrupted or error-free operation.
We may suspend or terminate your access immediately, without refund, if you materially breach these Terms (including any violation of Section 4), if your licence verification lapses or cannot be confirmed, if payment fails, or if we reasonably believe your use threatens the security, integrity, or lawful operation of the Service. You may cancel your subscription at any time through your account. Sections that by their nature should survive termination (including Sections 4, 5, 8, 11, 12, and 13) survive.
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
To the maximum extent permitted by law, Pathway will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Pathway from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, your client data, or any advice you provide to your clients.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Ontario.
We may update these Terms from time to time. We will post the updated Terms and, for material changes, provide reasonable notice. Your continued use after the effective date of an update constitutes acceptance.
